Japanese bearing giants NSK Ltd. and NTN Corporation have signed a Memorandum of Understanding (MoU) to pursue a major business integration through the establishment of a joint holding company. The proposed integration aims to strengthen the global competitiveness of Japan’s bearing and precision technology industry amid increasing market challenges and international competition.
According to the companies, the decision comes in response to slowing global markets, shifting supply chains, geopolitical uncertainties, and growing tariff-related pressures. Both companies believe the integration will help improve profitability, accelerate innovation, and ensure sustainable long-term growth.
The combined entity will leverage the strengths of both companies across bearings, automotive systems, precision equipment, condition monitoring, and industrial motion technologies. Key focus areas include optimizing production and procurement, expanding aftermarket services, increasing investments in robotics and next-generation technologies, and enhancing global R&D and manufacturing capabilities.
Under the proposed structure, NSK and NTN will become wholly owned subsidiaries of a newly formed joint holding company, expected to be listed on the Prime Market of the Tokyo Stock Exchange in October 2027, subject to shareholder and regulatory approvals.
The companies stated that the integration is intended not only to increase scale, but also to create a stronger and more resilient global business platform focused on long-term value creation, operational efficiency, and technological advancement. Planned synergies include stronger global sales networks, consolidated manufacturing operations, expansion into high-value-added product segments, and development of new applications in robotics, healthcare, aerospace, and advanced mobility sectors.
Founded in 1916 and 1918 respectively, NSK and NTN together employ nearly 50,000 people worldwide and generate combined annual revenues exceeding ¥1.7 trillion (approximately $10.9 billion).
