The public offering will see promoter Bonfiglioli S.p.A. offload over 4.32 crore shares, with the stock slated for listing on BSE and NSE.
Bonfiglioli Transmissions Limited is set to enter the Indian capital market, with its initial public offering (IPO) scheduled to open for subscription on October 15, 2026. The company has fixed the price band at ₹558–₹586 per equity share, with the bidding window closing on October 19. Bidding for anchor investors will take place on October 14.
The issue consists entirely of an offer for sale (OFS), through which the company’s promoter, Bonfiglioli S.p.A., plans to sell up to 43,239,042 equity shares. Since the IPO does not include a fresh issue, the proceeds from the share sale will accrue to the promoter rather than the company.
Retail and other eligible investors can apply for a minimum of 25 shares, with additional bids permitted in multiples of 25. Based on the announced price band, the minimum investment will amount to ₹13,950 at the floor price and ₹14,650 at the cap price, before applicable charges.
Following the offering, the company’s equity shares are proposed to be listed on BSE Limited and the National Stock Exchange of India Limited.
Bonfiglioli Transmissions Limited supplies mechanical and electro-mechanical power transmission equipment for industrial applications. Its product range includes gear motors, gearboxes and integrated drive systems used to deliver controlled motion and torque across manufacturing and other industrial operations.
The company’s solutions cater to a diverse customer base across end-user sectors where dependable drive performance and precision are important to equipment operation and productivity.
The Indian business operates under the Bonfiglioli brand, which brings nearly seven decades of global experience and more than 25 years of presence in India. Its promoter, Italy-based Bonfiglioli S.p.A., operates internationally in the power transmission and industrial drive solutions market.
The proposed IPO provides an opportunity for investors to participate in the listed equity of the Indian business through a secondary share sale by its existing promoter. As the offering is structured solely as an OFS, it will not result in the issuance of additional equity capital by the company.
